Your Role As An Owner

The managing owner or an approved store manager must work full time actively managing day-to-day operations. Hiring a manager is permitted, but the managing owner must still complete initial training. New managing owners or managers must complete it within 60 days of assuming the manager role. Anyone with at least a 10% ownership interest must personally guarantee the franchisee's obligations. Permission to hire a manager should not be read as a promise of passive ownership or a particular number of owner hours.

Territory
Open The Full FDDRead The Disclosed Requirements
Your signed agreement identifies a protected area around an approved store. While you comply with the agreement, Woof Gang will not put another company-owned or franchised Woof Gang store inside it. That protection does not make the territory exclusive: the franchisor reserves online and other sales channels, and customers can come from outside another store's area. If you sign before finding a site, territorial rights do not begin until the approved location and protected area are documented. Check the actual boundary map and reserved rights before committing.

01The Franchisor, Its Predecessors And Affiliates
Woof Gang Bakery combines pet grooming with a retail store selling treats, food and accessories. The franchisor formed in Florida in 2007 and began offering franchises in January 2008. It became part of a Garnett Station Partners-controlled group in 2022. Its distribution affiliate sells products to franchisees. You can buy a single-store franchise or commit to opening multiple stores on an agreed schedule; each store needs its own franchise agreement.

02Business Experience
The 2026 FDD identifies Ricardo Azevedo as CEO, Joseph Marin as Chief Financial and Development Officer, Tim Brueggemann as COO, Diego Suarez as Chief Marketing Officer, and Alexandre De Macedo as Chairman. All entered their listed Woof Gang roles in 2022. Their disclosed backgrounds include Restaurant Brands International, Burger King, a Popeyes franchisee and SeaWorld. These are the leadership biographies reported in this filing, rather than a check of who holds each role today.

03Litigation
The FDD lists a lawsuit that Woof Gang Bakery filed against Marina and others in federal court in Texas in August 2025. It describes the case as an action to enforce obligations that continue after a franchise ends. The short disclosure does not state the outcome. It is a reported case in this filing, not a current court-status check.

04Bankruptcy
Woof Gang Bakery reports no bankruptcy that it is required to disclose in Item 4 of this FDD. This statement covers the disclosure requirements for this item; it does not measure the company's financial strength or replace a review of its financial statements.
2026 FDD · PDF Page 10 · Item 4 · View Source
05Initial Fees
The initial franchise fee for one store is $49,900, due when you sign. There is also a $15,000 startup media fee before opening, and the FDD estimates $12,000 to $18,000 of initial inventory purchased from its distribution affiliate. The franchise and media fees are nonrefundable. A multiple-store agreement requires the first store's franchise fee plus a $20,000 deposit for each additional store. Each deposit is credited toward that store's franchise fee; it does not pay for that store's construction or other startup costs.
2026 FDD · PDF Page 11 · Item 5 · View Source
06Other Fees
Ongoing charges include a 7% royalty and a 2% national marketing fee, both based on gross revenue rather than profit and generally paid monthly. Local marketing is additional. Other charges apply in specific situations, such as replacing a manager who needs training, transferring ownership, renewing, relocating or breaching the agreement. The technology charge needs clarification: Item 6 says it is currently $50 a month, while Item 11 says it is not currently charged. Both allow a charge up to $300 a month.

07Estimated Initial Investment
The FDD estimates $191,350 to $560,300 to open one store, including three months of working capital. Buildout is the largest variable: $28,000 to $293,700. The estimate assumes leased premises, typically 1,000 – 1,800 square feet. Rent, the condition of the space and landlord contributions can change your costs. The working-capital allowance excludes owner compensation, and more money may be needed before the store breaks even.
2026 FDD · PDF Page 14 · PDF Page 13 · PDF Page 15 · Item 7 · View Source
The separate $211,350 to $640,300 multiple-store estimate covers the first store plus franchise-fee deposits for later stores. It is not the total cost of building and opening every store in the development agreement.

08Restrictions On Sources Of Products And Services
You must use designated or approved sources for certain inventory, equipment, store materials and technology, and use the franchisor's designated architect. Some other purchases can come from your choice of supplier if they meet its specifications. Proposing an alternative supplier may involve an evaluation charge. The franchisor and its distribution affiliate earn revenue from franchisee purchases, and approved suppliers may pay rebates. Item 8 also sets required insurance coverages and describes the franchisor's approval process for your proposed site.

09Franchisee's Obligations
This item is a guide to the responsibilities you take on, with references to the agreement sections that explain each one. These include finding and developing a site, training, fees, insurance, marketing, staffing, recordkeeping, supplier requirements and operating standards. It also points to the rules for renewing, selling or closing the business. Use it as a checklist when reviewing the contracts; the table itself is not the full explanation of each obligation.

Ongoing support includes operating guidance, marketing-fund management and training that may cost extra.

12Territory
Your signed agreement identifies a protected area around an approved store. While you comply with the agreement, Woof Gang will not put another company-owned or franchised Woof Gang store inside it. That protection does not make the territory exclusive: the franchisor reserves online and other sales channels, and customers can come from outside another store's area. 13Trademarks
The franchise gives you permission to use the approved Woof Gang names and branding under the agreement's rules; you do not own them. Most listed marks are federally registered, but one listed mark is an application without federal registration. The franchisor can require branding changes at your expense. It is not obligated to defend you or reimburse you against trademark claims. The permission to use the marks ends when your franchise agreement ends.

14Patents, Copyrights And Proprietary Information
The FDD lists no registered patents or copyrights that are material to the franchise, but Woof Gang claims copyright protection for its manuals, training and advertising materials and treats some training content as trade secrets. You must protect confidential information during and after ownership and return protected materials when the agreement ends. Required manual changes are your expense. The franchisor also reserves the right to set policies on ownership and control of customer data in the store's management system.

15Obligation To Participate In The Actual Operation Of The Franchise Business
The managing owner or an approved store manager must work full time actively managing day-to-day operations. Hiring a manager is permitted, but the managing owner must still complete initial training. New managing owners or managers must complete it within 60 days of assuming the manager role. Anyone with at least a 10% ownership interest must personally guarantee the franchisee's obligations. Permission to hire a manager should not be read as a promise of passive ownership or a particular number of owner hours.

16Restrictions On What The Franchisee May Sell
You must offer all the products and services Woof Gang approves and cannot add unapproved offerings. The franchisor controls the required inventory selection and quantities, can require new products or services, and requires approved suppliers for supplies and equipment. This means your store follows the brand's offering rather than operating as an independent pet retailer with unrestricted choice over what to sell.
2026 FDD · PDF Page 28 · Item 16 · View Source
17Renewal, Termination, Transfer And Dispute Resolution
The franchise term is 10 years, with one further 10-year renewal if you meet the conditions. Renewal requires a fee equal to half the then-current initial franchise fee, an updated agreement and other requirements, including refurbishment. Selling the business involves transfer rules and fees. Some defaults allow time to fix the problem; others can lead to termination without that opportunity.
2026 FDD · PDF Page 29 · PDF Page 30 · Item 17 · View Source
The contract's noncompete lasts 24 months after the later of the agreement ending or store operations stopping, within 10 miles of the former store or any other then-existing Woof Gang store. Disputes generally go to mediation, then arbitration, near headquarters. State law and the state addenda can change these rules. Multiple-store development agreements have separate deadlines and no renewal right.

For 2025, the franchisor reports average gross revenue of $620,375 and median gross revenue of $581,857 for 199 stores open at least 13 months under the same operator. The group excludes 21 transferred stores, one winding down, one non-traditional store and 66 newer stores. Results for older stores and retail product costs are shown separately. 20Outlets And Franchisee Information
The system ended 2025 with 288 franchised stores and no company-owned stores, compared with 197 franchised stores at the end of 2023 and 236 in 2024. In 2025, the franchisor reports 63 openings and net growth of 52 stores; separate tables track transfers and other changes. These are historical counts, not a map of available territories. 21Financial Statements
Exhibit A contains audited consolidated financial statements for Woof Gang Bakery, Inc. and its subsidiaries for the years ended December 31, 2023, 2024 and 2025. These describe the franchisor group, rather than the income of a typical franchise owner. The statements reflect the May 2022 acquisition by GSP Woof Gang Holdco, Inc. The independent auditors report that the statements fairly present the group’s financial position, results and cash flows in accordance with U.S. accounting principles.
